1. Introduction

Welcome to the Augmend Preview Program. These Terms and Conditions ("Terms") govern your participation in the preview test of the Augmend software-as-a-service ("SaaS") tool ("Preview Software"). The Preview Software is provided by Decodexis Consulting Services, a company registered in the Netherlands (hereinafter "we," "us," or "our").

By registering for or using the Preview Software, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority or do not agree to these Terms, you may not use the Preview Software.

2. Purpose of the Preview Program

The purpose of this Preview Program is to test the functionality, performance, and stability of the Preview Software and to gather your feedback. We aim to use this feedback to improve the final version of the software. You understand and agree that the Preview Software is a pre-release version, is not a final product, and may contain bugs, errors, and other issues.

3. Grant of License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Preview Software solely for the purpose of internal business testing and evaluation, as described in Section 2.

4. User Responsibilities and Prohibited Use

• Proper Use: You agree to use the Preview Software only for its intended purpose: to convert unstructured data into structured data.
• Malicious or Illegal Content: You are strictly prohibited from uploading any documents or content that is malicious, harmful, or illegal, or that contains viruses, malware, or other destructive code.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree not to lend, share, or otherwise provide your account access to any third party.
• Third-Party Use (Consultants): If you are a consultant or a business providing services to a third party, you are solely responsible for ensuring that your use of the Preview Software on behalf of that third party complies with all applicable laws and regulations, including any data protection or privacy laws. You agree to obtain any necessary consents and provide all required notices to such third parties.

5. Data and Privacy

• Data Uploads: You acknowledge that you will be uploading documents to the Preview Software for processing. We recommend avoiding uploading any personal or sensitive data during the preview phase.
• Disclaimer on Data: The Preview Software is not intended for production use, and while we take reasonable technical and organizational measures to protect your data, you acknowledge that preview environments may not meet the security standards of commercial releases.
• Data Deletion: The Preview Program is scheduled to end on 30 April 2026. You understand and agree that all data, including uploaded documents and processed results, will be permanently deleted from our systems on or after this date. We will provide a notice via email at least 14 days before the deletion date, but it is your sole responsibility to download and back up any data you wish to retain before this deadline. We will not be responsible for any data lost due to your failure to download it.
• Data Collection: We will use OAuth for user authentication and will not collect personal information beyond your name and email address to access the app. We will, however, collect usage and performance data to improve the Preview Software. This may include information about how you interact with the software, but it will not include any personal data beyond that provided for authentication.

6. Disclaimer of Warranties

THE PREVIEW SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PREVIEW SOFTWARE WILL MEET YOUR REQUIREMENTS, BE FREE OF BUGS OR ERRORS, OR OPERATE WITHOUT INTERRUPTION. YOUR USE OF THE PREVIEW SOFTWARE IS AT YOUR OWN RISK.

7. Limitation of Liability

GIVEN THAT THE PREVIEW SOFTWARE IS PROVIDED FREE OF CHARGE, WE SHALL HAVE NO LIABILITY, WHETHER FINANCIAL OR OTHERWISE, FOR ANY DAMAGES ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE PREVIEW SOFTWARE. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE PREVIEW SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Intellectual Property

• Our Ownership: We retain all right, title, and interest in and to the Preview Software, including all intellectual property rights.
• Feedback: You agree that any feedback, bug reports, ideas, or suggestions ("Feedback") you provide to us about the Preview Software may be used by us for any purpose, without any obligation to you. You hereby assign to us all rights, title, and interest in and to any Feedback you provide.

9. Fixed Quota

Access to the Preview Software is subject to a fixed quota in MB on uploads and processing. This quota will be enforced, and we reserve the right to increase or change the quota at our sole discretion. No guarantees are made regarding processing speed or performance.

10. Termination

We reserve the right to suspend or terminate your access to the Preview Software at any time, with or without cause or notice, for any reason, including but not limited to a breach of these Terms. Upon termination, you must cease all use of the Preview Software and we may delete your account and all associated data.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.
