1. Introduction

Welcome to the Augmend Beta Program. These Terms and Conditions ("Terms") govern your participation in the beta test of the Augmend software-as-a-service ("SaaS") tool ("Beta Software"). The Beta Software is provided by Decodexis Consulting Services, a company registered in the Netherlands (hereinafter "we," "us," or "our").

By registering for or using the Beta Software, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority or do not agree to these Terms, you may not use the Beta Software.

2. Purpose of the Beta Program

The purpose of this Beta Program is to test the functionality, performance, and stability of the Beta Software and to gather your feedback. We aim to use this feedback to improve the final version of the software. You understand and agree that the Beta Software is a pre-release version, is not a final product, and may contain bugs, errors, and other issues.

3. Grant of License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Beta Software solely for the purpose of internal business testing and evaluation, as described in Section 2.

4. User Responsibilities and Prohibited Use

• Proper Use: You agree to use the Beta Software only for its intended purpose: to convert unstructured data into structured data.
• Malicious or Illegal Content: You are strictly prohibited from uploading any documents or content that is malicious, harmful, or illegal, or that contains viruses, malware, or other destructive code.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree not to lend, share, or otherwise provide your account access to any third party.
• Third-Party Use (Consultants): If you are a consultant or a business providing services to a third party, you are solely responsible for ensuring that your use of the Beta Software on behalf of that third party complies with all applicable laws and regulations, including any data protection or privacy laws. You agree to obtain any necessary consents and provide all required notices to such third parties.

5. Data and Privacy

• Data Uploads: You acknowledge that you will be uploading documents to the Beta Software for processing. You are strongly advised not to upload any documents or data that contain privacy-sensitive or personal data, as defined by applicable privacy laws, including the GDPR.
• Disclaimer on Data: We do not guarantee the security or integrity of any data you upload to the Beta Software. You are solely responsible for the data you upload. In the event of any data leakage, loss, or breach, we will not be held liable.
• Data Deletion: The Beta Program is scheduled to end on 30 April 2026. You understand and agree that all data, including uploaded documents and processed results, will be automatically and permanently deleted from our systems on or after this date. We will provide a notice via email at least 14 days before the deletion date, but it is your sole responsibility to download and back up any data you wish to retain before this deadline. We will not be responsible for any data lost due to your failure to download it.
• Data Collection: We will use OAuth for user authentication and will not collect personal information to enter into the app. We will, however, collect usage and performance data to improve the Beta Software. This may include information about how you interact with the software, but it will not include any personal data.

6. Disclaimer of Warranties

THE BETA SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE BETA SOFTWARE WILL MEET YOUR REQUIREMENTS, BE FREE OF BUGS OR ERRORS, OR OPERATE WITHOUT INTERRUPTION. YOUR USE OF THE BETA SOFTWARE IS AT YOUR OWN RISK.

7. Limitation of Liability

GIVEN THAT THE BETA SOFTWARE IS PROVIDED FREE OF CHARGE, WE SHALL HAVE NO LIABILITY, WHETHER FINANCIAL OR OTHERWISE, FOR ANY DAMAGES ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE BETA SOFTWARE. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE BETA SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Intellectual Property

• Our Ownership: We retain all right, title, and interest in and to the Beta Software, including all intellectual property rights.
• Feedback: You agree that any feedback, bug reports, ideas, or suggestions ("Feedback") you provide to us about the Beta Software may be used by us for any purpose, without any obligation to you. You hereby assign to us all rights, title, and interest in and to any Feedback you provide.

9. Fixed Quota

Access to the Beta Software is subject to a fixed quota in MB on uploads and processing. This quota will be enforced, and we reserve the right to increase or change the quota at our sole discretion. No guarantees are made regarding processing speed or performance.

10. Termination

We reserve the right to suspend or terminate your access to the Beta Software at any time, with or without cause or notice, for any reason, including but not limited to a breach of these Terms. Upon termination, you must cease all use of the Beta Software and we may delete your account and all associated data.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.
